These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and the operator of Algoagent Core ("we", "us", "our", or the "Company") governing your download, installation, and use of the Algoagent Core desktop application, your Algoagent account, and all related software, documentation, and updates made available by us (collectively, the "Software"). These Terms describe the Software as a portfolio research tool with no order capability. The Software never places an order — that is a permanent design boundary, not a deferred feature.

Please read these Terms carefully before using the Software. By downloading, installing, accessing, creating an account, or using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not install or use the Software and remove it from your device.

1. Acceptance of Terms

1.1. These Terms take effect when you download, install, create an account, or first use the Software, or when you otherwise indicate acceptance. Your continued use of the Software constitutes ongoing acceptance of these Terms as they may be amended from time to time under Section 17.

1.2. These Terms, together with any additional terms presented to you at the point of purchase or within the Software, constitute the entire agreement between you and the Company regarding the Software and supersede all prior or contemporaneous understandings, whether oral or written.

1.3. If any provision of these Terms is held to be unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

2. Description of Service

2.1. Software vendor, not a financial services provider. Algoagent Core is a local-first macOS desktop application that provides portfolio research: it syncs your holdings through read-only broker connections and produces structured research dossiers. The Company is a software vendor only. We are not a broker, broker-dealer, exchange, trading venue, custodian, investment adviser, portfolio manager, research analyst, or financial services provider of any kind.

2.2. No regulated status. The Company is not registered with the Securities and Exchange Board of India (SEBI) as an investment adviser or research analyst, is not a member of any stock exchange, is not registered with the Financial Intelligence Unit – India (FIU-IND), and does not hold any broker-dealer, money-transmitter, or virtual-asset service provider license. Nothing in these Terms or in the Software should be construed as implying any such status.

2.3. Local operation. The Software runs on your own Mac. Your data, your keys (LLM, read-only broker, and fundamentals keys), and your research remain on your device. We operate no cloud infrastructure that stores your trading data, research, or credentials. If you choose to sign in, our account server holds only your account record — an email address and a sign-in identifier.

2.4. Keys (bring your own, read-only). The Software uses keys you supply: an LLM provider key for research, an optional fundamentals-data key, optional news-provider keys, and optional broker keys used solely to sync your holdings. Each key is stored locally on your Mac and used only to call the respective provider directly; none is ever transmitted to us. The Software only ever calls read-only endpoints, and order paths are blocked at the network layer — so even a key that could trade elsewhere can never place an order here.

2.5. No order capability — ever. The Software has no order capability. It does not submit, stage, prefill, relay, modify, cancel, or execute any exchange order, and no adapter exposes an order method. All AI-generated analysis, scenarios, verdicts, and output are informational research only. You decide and act in your own exchange.

2.6. Scope and sources. Research covers your synced holdings — Indian equities (NSE/BSE) via Zerodha Kite, read-only — plus manual CSV import. The Software covers Indian listings only. To research them, the Software reads: public corporate disclosures, filings, and announcement attachments published by stock exchanges (principally BSE); listing lookups from Yahoo Finance, used solely to propose real listings when you search for a company by name so that you confirm the right security; public news published over RSS and, where you supply optional keys, news APIs; financial statements and reference data from the fundamentals-data provider whose key you supply; market prices and price history from the market-data entitlement on your own broker account; and any document or figure you choose to supply yourself under Section 2.12. The Software does not read NSE or screener.in, does not discover live public issues from any exchange, and does not retrieve documents from publisher, regulator, or issuer web pages — anything a licensed channel does not serve arrives only as a document you supply. Every figure is stored with the source it came from.

2.7. Research dossiers. The Software runs a nine-stage research framework over each holding, or, where you select the Lite Path, the six load-bearing stages of it with a raised margin-of-safety requirement and a capped confidence score (the dossier records which mode produced it) and produces structured dossiers — pros, cons, red flags, a computed valuation verdict, scenarios, and confidence. The framework is enforced in code rather than requested of the model: a source may only be cited if the Software actually retrieved it and recorded a local receipt; figures asserted in a claim are checked against the retrieved text; growth and ratio figures are computed rather than accepted from the model; scores and verdicts are computed from the recorded evidence; and where data is unavailable the affected field is reported as unknown rather than estimated. These are assessments for informational purposes, not advice, and Section 10 applies to all of them.

2.8. Permanent boundaries. The following are not capabilities of the Software and are not roadmap: (a) order placement of any kind — the Software never submits, stages, or relays an order; (b) calling any trading endpoint — broker connections are used only for read-only endpoints, with order paths blocked at the network layer; (c) autonomous or unattended trading of any kind; (d) model portfolios, recommended baskets, or any suggested list of securities to hold; (e) publishing, hosting, or syndicating research output — dossiers are generated and stored on your device, and we neither receive nor distribute them. Where you configure an optional delivery channel of your own (Section 2.13), the Software sends a dossier you asked for to a destination you chose; it never publishes one, and it never sends one to us. The Software researches; you decide and act in your own exchange. Your broker keys are stored locally and never transmitted to us.

2.9. Accounts (required, free). The Software requires a one-time sign-in before it will open, as described in Section 5.5. The account is free and unlocks nothing — every capability is present in the build you download — but it is a gate, not an option: signed out, the application does not start its research process and does not read your stored credentials. An account does not change where your data lives. Research, keys, and holdings remain on your device and are never transmitted to us.

2.10. The Company reserves the right to modify, suspend, or discontinue any feature of the Software at any time, with or without notice. The Software is provided free of charge, and nothing in this Section obliges us to maintain any particular feature.

2.11. Data sourcing, and whose credentials do the fetching. Every retrieval described in Section 2.6 is made by the Software, from your device, using your own credentials and your own network connection, and the result is rendered only to you. We do not fetch, receive, store, cache, relay, aggregate, redistribute, resell, or republish market data, filings, prices, or news on your behalf, and no copy of them reaches our servers. Exchange and vendor data is licensed to its recipient, not owned by them; because your device is the recipient, your use is governed by your own agreements with your broker, exchange, and data providers, and you are responsible for complying with them. The Software also does not attempt to defeat access controls: it does not bypass logins, paywalls, CAPTCHAs, or bot-protection, does not drive a browser to evade detection, identifies itself honestly with a User-Agent naming the product, and never retries a refusal under a different identity. Where a source declines automated access, the Software degrades to reporting the gap rather than routing around the control. Before it reads any web page or document, it fetches and obeys that host's robots.txt. Two direct data integrations do not consult robots.txt: the BSE disclosure endpoints, which serve no readable robots policy, and the Yahoo Finance symbol lookup behind the stock picker, which runs only in response to a name you type. Requests to the BSE endpoints are rate-limited to no more than one per second; elsewhere the Software limits load by caching and by reading one page per subject rather than crawling. Where a source's own terms refuse automated collection, the Software does not read it at all rather than reading it carefully.

2.12. Evidence you supply. Where a source is unavailable to you, the Software may tell you exactly what is missing and offer to accept it from you — a typed figure, or a document you upload. Anything you supply this way is processed and stored on your device only and is never transmitted to us. It is recorded as your own evidence, labelled as operator-supplied for as long as it exists, weighted below a first-party filing, and never presented as, relabelled as, or reported as a filing or vendor statement. You are responsible for having the right to use any document you supply, and for the accuracy of any figure you enter; a dossier built on operator-supplied data is marked as such and is no more reliable than the data you provided.

2.13. Optional delivery channels. The Software can send a dossier you have exported to a messaging or email destination you configure yourself — for example your own Telegram, Slack, Discord, Matrix, Signal, IRC, or ntfy account, or an SMTP server you supply. Every such channel is off by default and requires you to enter your own credentials for it. When you enable one, the exported dossier leaves your device and reaches the destination you chose and the provider operating it, under that provider's terms and privacy policy, not ours. We do not operate these channels, do not receive a copy, and cannot read what is sent. If you want nothing to leave your Mac, configure no channel — that is the default state.

3. Eligibility

3.1. You may use the Software only if you are a natural person or legal entity capable of forming a binding contract under applicable law. If you are an individual, you must be at least eighteen (18) years of age (or the age of majority in your jurisdiction, if greater).

3.2. The Software is intended for users who understand that it is a portfolio research tool, and who understand the mechanics and risks of trading generally (including any trading they conduct in their own exchange). By using the Software, you represent that you have sufficient knowledge and experience to evaluate research output and to use AI-assisted tooling responsibly.

3.3. You represent that you are not prohibited from using the Software under any applicable law, regulation, order, or sanction, and that your use of the Software complies with the laws of your jurisdiction.

4. License Grant

4.1. Grant. Subject to your compliance with these Terms, the Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on macOS devices that you own or control, solely for your own internal use.

4.2. Restrictions. You may not, and may not permit any third party to: (a) copy, modify, or create derivative works of the Software, except as expressly permitted; (b) reverse engineer, decompile, or disassemble the Software, except to the extent prohibited by applicable law; (c) rent, lease, lend, sell, redistribute, or sublicense the Software; (d) remove or alter any proprietary notices; (e) use the Software to build a competing product; (f) share your account with any other person; or (g) use the Software in violation of any applicable law or these Terms.

4.3. Ownership. The Software is licensed, not sold. The Company and its licensors retain all right, title, and interest in and to the Software.

4.4. All releases are free. Every release of the Software is distributed free of charge, with no subscription, paid tier, or usage limit. A one-time sign-in is required to open it (Sections 2.9 and 5.5). Any release you obtain may be used as released, indefinitely, under these Terms.

5. Accounts & Sign-In

5.1. Sign-in providers. Accounts are created by signing in with your Google or Apple account. We do not offer password-based accounts. Your sign-in is governed by your chosen provider's terms in addition to these Terms.

5.2. One account per sign-in identity. Each Google or Apple identity creates a separate Algoagent account. If you sign in with different providers, you will hold separate accounts; we do not link accounts automatically.

5.3. Your responsibility. You are responsible for the activity under your account and for maintaining access to your sign-in provider account. If you lose access to that provider, you may lose access to your Algoagent account.

5.4. What the account is not. Your Algoagent account is unrelated to your LLM provider credentials (for example, your OpenAI or Anthropic API key). Those are separate credentials with separate lifecycles; signing out of one does not affect the other. Your Algoagent account is also not a licence or a paid plan: the Software is free, nothing in it is gated behind payment, and the account exists so that we can identify you for support and updates.

5.5. Sign-in is required to run the Software. A sign-in must be completed once before the Software will open. It is checked once and stored locally on your device; the Software does not re-verify it with us on a schedule, and it opens without network access after the first sign-in.

6. Keys & User Responsibilities

6.1. Keys you provide. The Software may hold the keys you supply: an LLM research key, an optional fundamentals-data key, optional news-provider keys, and optional broker keys. You are solely responsible for obtaining, configuring, safeguarding, and managing them, and for the security of your device. You accept all risk and consequences of their loss, theft, or misuse.

6.2. Broker keys are used read-only. The broker keys the Software accepts are used solely for read-only holdings sync. You are solely responsible for those keys' permissions and security (including using read-only scopes, disabling withdrawals, and IP allow-lists where available). We never custody them.

6.3. No custody or access. We do not hold, custody, control, or have access to your funds, keys, or credentials at any time.

6.4. Third-party terms. Your use of any LLM provider, fundamentals-data provider, broker, exchange, or data feed through the Software is governed solely by your agreement with that third party. We are not a party to, and are not responsible for, any such third-party agreement or service. This expressly includes the licence terms attached to market data: where the Software reads prices or history using a market-data entitlement on your broker account, that data reaches you as that provider's licensee, and any restriction your provider places on redistributing or republishing it is yours to observe.

6.5. Accuracy of configuration. You are responsible for the correctness of your configuration and any parameters you set.

6.6. Compliance. You are solely responsible for your own regulatory compliance, including any registration, licensing, reporting, KYC, AML, and tax obligations arising from any trading activity you conduct in your own exchange.

7. No Investment Advice / No Fiduciary Relationship

7.1. No advice. Nothing provided by, through, or in connection with the Software — including any AI-generated analysis, scenario, recommendation, commentary, backtest, or output — constitutes investment, financial, legal, tax, or trading advice, or a recommendation or solicitation to buy, sell, or hold any instrument. The Software is a research tool — it never provides advice, research content sold as such, or market predictions.

7.2. Independent decision-making. All information and outputs are provided for informational and tooling purposes only. You are solely responsible for your own decisions and must independently evaluate the merits and risks of any transaction before executing it (any execution happens outside the Software, in your own exchange).

7.3. No fiduciary duty. No fiduciary, advisory, agency, partnership, or similar relationship is created between you and the Company by your use of the Software. We owe you no fiduciary duty.

8. Trading Risk Acknowledgment

8.1. Substantial risk of loss. Trading in securities, derivatives, and other financial instruments involves a substantial risk of loss and is not suitable for every investor. Prices are volatile, markets can move rapidly against you, and you may lose some or all of the funds you trade. Leveraged trading can magnify losses beyond your initial capital. These risks apply to any trading you conduct in your own exchange.

8.2. You accept all trading risk. You acknowledge and agree that any trading you conduct is entirely at your own risk and discretion. The Company is not responsible for any trading losses, whether arising from market movement, software behavior, connectivity issues, your configuration, your decisions, or any other cause.

8.3. Automation and AI risk. Algorithmic and AI-assisted analysis carries risks, including model or data errors, hallucination, stale or incomplete data, overfitting, and behavior that differs from expected results. These apply to the Software's research outputs. Because the Software places no orders, there is no order-automation risk from the Software itself. Past performance is not indicative of future results.

8.4. No orders, ever. The Software places no orders, so there is no execution risk from the Software itself. Any order you place in your own exchange is your own decision, made on your own responsibility.

8.5. No guarantee. We make no representation or warranty regarding the accuracy, completeness, timeliness, or reliability of any data, output, or result produced by the Software, and we do not guarantee any profit or trading outcome.

9. Price & Third-Party Costs

9.1. The Software is free. Algoagent Core is provided free of charge. There is no subscription, no licence fee, no trial, and no paid tier. We do not collect payment from you, do not operate a billing system, and do not process card data of any kind.

9.2. Free does not mean costless to run. The Software works by using accounts and keys you bring. You are solely responsible for all costs charged by third parties in connection with your use of the Software, including LLM provider usage fees, fundamentals-data subscriptions, news-API plans, and, for any trading you conduct in your own exchange, broker or exchange commissions and internet or hardware costs. These are billed to you by those providers directly; we never see them and never mark them up.

9.3. No feature is withheld pending payment. Every capability described in these Terms is available in the build you download, and no capability is gated behind a payment, a tier, or a usage quota. The one-time sign-in required by Section 5.5 unlocks no feature; it is an access gate applied uniformly to the whole application.

9.4. If this changes. Should we ever introduce a paid tier, it will not apply retroactively to a release you already hold: any build distributed free under these Terms remains usable as released, indefinitely, under these Terms.

10. Research Output Disclaimer

10.1. Informational only. Research dossiers, verdicts, scenarios, scores, and confidence levels are informational assessments for educational and evaluation purposes only. They are not advice and not a guarantee of any outcome.

10.2. Not indicative of results. A research verdict or scenario does not predict or guarantee actual market performance, which may differ materially due to factors the Software does not capture.

10.3. Gaps are reported, not filled. Where data is missing, unavailable, or outside the entitlement of the keys you supplied, the Software reports the affected field as unknown and may abstain from a stage or a score entirely. An incomplete dossier is an expected outcome, not a defect, and the absence of a figure is never evidence about that figure.

10.4. Assessments are dated, and they go stale. Every dossier carries the date of the data it was built from. An assessment describes that moment only. The Software may mark a dossier stale as its evidence ages, and does not update an existing assessment to reflect events that occurred after it was produced.

10.5. Freezing is not correction. Where the Software detects a significant adverse event affecting a holding, it withholds the affected assessment behind a notice and invites you to re-run the research. It deliberately does not silently adjust a score or verdict in response to such an event. A withheld assessment means "this may no longer be reliable" — it is not a new, checked conclusion, and neither the detection nor its absence is a judgment about whether the underlying event is true.

10.6. Computation is not correctness. Figures the Software computes — growth rates, ratios, scores, confidence — are computed from the data it was given. They inherit any error, omission, revision, or restatement in that data, and a computed number is not a verified one.

11. Intellectual Property

11.1. Company IP. The Software and all intellectual property rights therein are and remain the exclusive property of the Company and its licensors.

11.2. Your content. You retain all rights to your own strategies, configurations, data, and content created or input using the Software. Because the Software operates locally, your content remains on your device.

11.3. Trademarks. The Algoagent name, logo, and related marks are trademarks of the Company.

12. User Conduct / Prohibited Uses

12.1. You agree not to use the Software: (a) in violation of any applicable law or third-party right; (b) to engage in market manipulation, fraud, insider trading, spoofing, or wash trading; (c) to trade where prohibited or where you lack authorization; (d) to circumvent any security, licensing, or access-control feature; (e) to introduce malware or harmful code; (f) to resell or redistribute the Software or access to your account in violation of Section 4.

13. Disclaimers & Limitation of Liability

13.1. "AS IS" DISCLAIMER. THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

13.2. No warranty of results. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE, OR THAT IT WILL PRODUCE ANY PARTICULAR TRADING RESULT. YOU USE THE SOFTWARE AND RELY ON ANY OUTPUT ENTIRELY AT YOUR OWN RISK.

13.3. Third-party services. We are not responsible for the acts, errors, omissions, availability, or reliability of any third-party service, including LLM providers, fundamentals-data providers, data feeds, brokers, exchanges, or sign-in providers.

13.4. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, TRADING OPPORTUNITY, OR CAPITAL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SOFTWARE.

13.5. CAP. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE COMPANY FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE THOUSAND INDIAN RUPEES (INR 1,000).

14. Indemnification

14.1. You agree to defend, indemnify, and hold harmless the Company from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Software; (b) your use of research output and, for any trading you conduct in your own exchange, your orders or transactions; (c) your use of any API keys or third-party accounts; (d) your breach of these Terms or any applicable law; or (e) your content.

15. Term, Termination & Account Deletion

15.1. By you. You may terminate these Terms at any time by ceasing use of the Software and uninstalling it.

15.2. By us. We may suspend or terminate your license and account immediately if you breach these Terms, or if required by law. Where practicable, we will give notice before doing so.

15.3. Account deletion. You may delete your account at any time by emailing contact@algoagent.in from your account email address. Deletion removes your account record from our server — your sign-in identity and email address. Because the Software requires a sign-in to open, it will ask you to sign in again after deletion; signing in again simply creates a new record. Deletion never reaches your device: your local data on your Mac is unaffected and remains entirely yours.

15.4. Effect of termination. Upon termination, your license ends. Sections that by their nature should survive termination will survive. Because the Software operates locally, termination does not affect your access to your own data on your device.

16. Governing Law & Jurisdiction

16.1. Governing law. These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

16.2. Jurisdiction. Subject to applicable law, the courts located in the jurisdiction of your residence within India shall have non-exclusive jurisdiction over any dispute. Where you reside outside India, the parties agree that the competent courts in India shall have jurisdiction to the extent permitted by law.

16.3. Amicable resolution. The parties will first attempt in good faith to resolve any dispute amicably. Nothing limits any mandatory consumer protection rights you may have.

17. Changes to Terms

17.1. We may update these Terms from time to time, including to describe new capabilities as they ship. When we make material changes, we will update the "Last Updated" date and, where practicable, provide notice within the Software or on algoagent.in.

17.2. Your continued use of the Software after the effective date of revised Terms constitutes your acceptance of the revised Terms.
